Non-Disclosure Agreement (NDA)

This Agreement is effective upon acceptance by the undersigned ("Recipient") during the booking process for hotdesking services provided by Pivotal.

1. Parties

This Non-Disclosure Agreement ("Agreement") is entered into by and between:

  • Pivotal, registered at [Insert Address] ("Disclosing Party"), and

  • The individual or entity booking hotdesking services ("Recipient").

2. Purpose

This Agreement aims to protect confidential and sensitive information that the Recipient may overhear, observe, or otherwise become aware of while utilizing Pivotal’s premises for hotdesking.

3. Confidential Information

"Confidential Information" refers to all non-public, proprietary, or sensitive information belonging to Pivotal or its clients, partners, or employees, which the Recipient may encounter directly or indirectly. This includes but is not limited to:

  • Business strategies, operations, or plans.

  • Client or partner information, including names and contact details.

  • Marketing campaigns, financial data, or internal reports.

  • Proprietary technologies, tools, or systems.

  • Conversations, discussions, or visible documents (digital or physical).

  • Any information explicitly marked as confidential or which should reasonably be understood to be confidential due to its nature.

4. Obligations of the Recipient

The Recipient agrees to:

  1. Maintain confidentiality: Keep all Confidential Information private and secure, and not disclose it to any third party without prior written consent from Pivotal.

  2. Limit usage: Use Confidential Information solely for personal purposes related to the hotdesking services and not for any competitive, professional, or personal gain.

  3. Avoid accidental exposure: Take reasonable steps to avoid overhearing, observing, or otherwise accessing information unrelated to their own work while on Pivotal’s premises.

  4. Report breaches: Notify Pivotal immediately if the Recipient becomes aware of any unauthorized access, disclosure, or use of Confidential Information.

5. Exclusions

The obligations in this Agreement do not apply to information that:

  1. Is or becomes publicly available through no fault of the Recipient.

  2. Was lawfully known to the Recipient prior to disclosure.

  3. Is disclosed to the Recipient by a third party with a lawful right to share such information.

  4. Must be disclosed by law or court order, provided the Recipient gives prior notice to Pivotal (if legally permissible) to allow for protective measures.

6. Term

This Agreement remains in effect for the duration of the Recipient's use of Pivotal’s services and for three (3) years thereafter.

7. Governing Law

This Agreement is governed by and construed in accordance with the laws of England and Wales.

8. Acceptance

By completing the hotdesking booking process, the Recipient confirms their understanding and agreement to the terms of this Non-Disclosure Agreement.
